TERMS & CONDITIONS OF DEEP FUNDING
1. INTRODUCTION
1.1. These Terms and Conditions (the “Terms”) govern access to and use of the Deep Funding platform, a decentralized grant coordination and proposal management system. The platform facilitates proposal submission, milestone tracking, Request for Proposal (RFP) responses, and community engagement in connection with the broader Deep Funding initiative.
1.2. These Terms do not constitute or replace any grant agreement. Any financial support awarded through Deep Funding is subject to a separate, legally binding grant agreement entered into between the Platform Operator and the Grant Recipient (as defined below). In the event of a conflict between these Terms and the grant agreement, the latter shall prevail.
1.3. By accessing or using the Deep Funding platform, submitting a proposal, or engaging in platform-based activities, the user (the “Participant”) agrees to be bound by these Terms.
1.4. These Terms set forth the rights and obligations of Participants with respect to the platform’s permitted use, governance processes, Proposal handling, review procedures, feedback mechanisms, and community standards.
2. DEFINITIONS
2.1. For the purpose of these Terms and Conditions (the “Terms”), the following definitions shall apply:
2.1.1. “Platform” means the Deep Funding online platform provided by SingularityNET for submitting, browsing, reviewing, and discussing project proposals.
2.1.2. “Platform Operator” means DEEP Initiatives Inc. or any affiliated entity responsible for operating and maintaining the Platform.
2.1.3. “User” means any individual or entity who accesses or interacts with the Platform, including but not limited to proposal authors, reviewers, voters, or community members.
2.1.4. “Proposal” means a project idea or funding request submitted by a User through the Platform for review and potential selection.
2.1.5. “Request for Proposals” or “RFP” means a call for submissions published on the Platform, inviting Users to propose projects addressing specific goals or topics.
2.1.6. “Community Feedback” means input, questions, or suggestions provided by Users through the Platform in response to Proposals or RFPs.
2.1.7. “Content” means any text, data, documents, comments, links, or other material uploaded or shared by Users via the Platform.
2.1.8. “Terms” means these Terms and Conditions governing the use of the Platform.
3. USE OF THE PLATFORM
3.1. The Platform is intended to facilitate community participation in the Deep Funding program by allowing Users to submit, browse, discuss, and provide feedback on project proposals and Requests for Proposals (RFPs). It is designed to support transparency, collaboration, and innovation within the SingularityNET ecosystem.
3.2. By accessing or using the Platform, Users agree to:
3.2.1. Use the Platform solely for its intended purpose, as outlined in these Terms;
3.2.2. Provide accurate, respectful, and constructive information when submitting or commenting on Proposals.
3.2.3. Refrain from uploading any unlawful, defamatory, misleading, or harmful Content.
3.2.4. Not impersonate others or misrepresent their identity or affiliations.
3.2.5. Comply with all applicable laws and regulations in connection with their Platform activity.
3.3. Access to certain Platform features may require User registration. Users are responsible for maintaining the confidentiality of their account credentials and for all actions taken under their account. The Platform Operator reserves the right to suspend or terminate any account that violates these Terms.
3.4. The Platform Operator may update, modify, or suspend the Platform at any time without notice. While efforts will be made to maintain consistent availability, the Platform is provided “as is” with no guarantees of uptime or error-free performance.
4. USER CONTENT AND CONDUCT
4.1. Users are solely responsible for any Content they submit, post, or share on the Platform, including but not limited to Proposals, comments, attachments, and feedback. The Platform Operator does not endorse or guarantee the accuracy, completeness, or usefulness of any User-submitted Content.
4.2. Users shall ensure that all Content shared on the Platform is:
4.2.1. Respectful and professional in tone
4.2.2. Factually accurate and not misleading
4.2.3. Free of offensive, discriminatory, or unlawful material
4.2.4. Not promotional, spam, or intended to solicit business outside the scope of Deep Funding
4.3. Users agree not to:
4.3.1. Use the Platform to harass, threaten, or harm others;
4.3.2. Introduce viruses, malicious code, or any activity that may disrupt the Platform’s functionality;
4.3.3. Attempt to access data or systems not intended for them
4.3.4. Reverse engineer, copy, or exploit any part of the Platform without express permission.
4.4. The Platform Operator reserves the right to review, moderate, or remove any Content at its sole discretion, including where it violates these Terms or disrupts community engagement. Repeat or serious violations may result in account suspension or permanent removal from the Platform
5. INTELLECTUAL PROPERTY
5.1. Users retain all intellectual property rights in the original Content they submit to the Platform, including Proposals and related materials. By uploading or posting Content, the User represents that they have the necessary rights and permissions to do so.
5.2. By submitting Content to the Platform, the User grants the Platform Operator a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and share such Content solely for the purpose of administering the Deep Funding program, including but not limited to:
5.2.1. Displaying the Proposal or related Content on the Platform
5.2.2. Sharing Content with reviewers, community members, or third parties involved in the evaluation process
5.2.3. Promoting selected projects within the SingularityNET ecosystem
5.3. Users must not upload or share any Content that infringes the intellectual property rights of third parties. The Platform Operator is not liable for any unauthorized use of third-party content by Users.
5.4. The Platform and all materials provided by the Platform Operator (including text, branding, graphics, and code) are the exclusive property of the Platform Operator or its licensors and are protected by applicable intellectual property laws. Users may not reproduce, distribute, or modify such materials without prior written consent.
6. DISCLAIMERS AND LIMITATION OF LIABILITY
6.1. The The Platform is provided on an “as is” and “as available” basis. The Platform Operator makes no warranties, express or implied, regarding the availability, reliability, or suitability of the Platform for any purpose.
6.2. Use of the Platform does not guarantee that any Proposal will be selected, reviewed, or funded. All evaluations and selections are subject to the separate grant process and are made at the discretion of the Platform Operator and/or community reviewers.
6.3. The Platform may contain links to third-party websites or services. The Platform Operator assumes no responsibility for the content, accuracy, or availability of such external resources.
6.4. To the fullest extent permitted by law, the Platform Operator shall not be liable for any direct, indirect, incidental, or consequential damages arising from:
6.4.1. The use or inability to use the Platform
6.4.2. Errors, delays, or interruptions in Platform access
6.4.3. Any content submitted by Users
6.4.4. Unauthorized access or security breaches
6.5. Users agree to indemnify and hold harmless the Platform Operator from and against any claims, damages, liabilities, or legal fees arising out of:
6.5.1. Their use of the Platform
6.5.2. Content submitted in violation of third-party rights or these Terms
6.5.3. Breaches of applicable law or regulation
7. GENERAL PROVISIONS
7.1. The Platform Operator reserves the right to update or modify these Terms at any time. Any changes will become effective upon publication on the Platform. Continued use of the Platform after such changes constitutes acceptance of the updated Terms.
7.2. The Platform Operator may suspend or terminate a User’s access to the Platform at any time and without notice, in the event of a violation of these Terms or any conduct that disrupts the functioning or integrity of the Platform.
7.3. Failure by the Platform Operator to enforce any provision of these Terms shall not constitute a waiver of its rights or remedies under applicable law.
7.4. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified or interpreted to best accomplish its intent, and the remaining provisions shall remain in full force and effect.
7.5. These Terms shall be governed by and construed in accordance with the laws of Switzerland. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
